Terms of Service
Effective date: February 10, 2026
These Terms of Service (the "Terms") govern your access to and use of the Details software, web dashboard, and related services (collectively, the "Service") provided by Firm Details LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. License Grant
Subject to your compliance with these Terms and payment of any applicable fees, Firm Details LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Details plug-in for Autodesk Revit and the associated web dashboard solely for your firm's internal business purposes.
2. Intellectual Property
The Service, including all software, source code, designs, logos, text, graphics, and other materials, is the exclusive property of Firm Details LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. No ownership rights are transferred to you under these Terms.
3. Restrictions on Copying and Distribution
You agree that you will not, and will not permit any third party to:
- Copy, reproduce, duplicate, or replicate the Service or any part thereof except for a single backup copy required for normal use;
- Distribute, sell, lease, rent, sublicense, lend, transfer, assign, or otherwise make the Service available to any third party outside your licensed firm;
- Share, publish, or post your license key, account credentials, installer files, or any portion of the Service on any public or private network, file-sharing service, or repository;
- Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Service, except to the extent such restriction is expressly prohibited by applicable law;
- Modify, adapt, translate, or create derivative works based on the Service;
- Remove, obscure, or alter any proprietary notices, labels, or marks on or within the Service;
- Use the Service to develop a competing product or service, or to benchmark the Service for the purpose of developing a competing product;
- Use any automated means (bots, scrapers, etc.) to access or extract data from the Service except through interfaces we expressly provide.
Each license is issued to a single named user. License keys may not be shared, pooled, or rotated between individuals. Firm administrators are responsible for ensuring every user of the Service within their firm holds an active, individually-assigned license.
4. Account Security
You are responsible for maintaining the confidentiality of your account credentials and license key, and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account or any other breach of security. Firm Details LLC reserves the right to suspend or revoke any license that we reasonably believe has been compromised, shared, or used in violation of these Terms.
5. Customer Data
You retain ownership of all data, projects, drawings, and other content you upload to or generate through the Service ("Customer Data"). You grant Firm Details LLC a limited license to host, process, and transmit Customer Data solely as necessary to provide the Service to you and your firm. We will not access, use, or disclose Customer Data except as required to operate the Service, comply with the law, or as authorized by you.
6. Subscriptions and Billing
Paid subscriptions are billed monthly through Stripe. Subscription fees are non-refundable except where required by law. We may change pricing on prospective renewals with at least 30 days' notice. Failed payments may result in suspension of Pro features after a grace period.
7. Termination
We may suspend or terminate your account and license immediately, without notice, if you breach these Terms — in particular Section 3 (Restrictions on Copying and Distribution). On termination, your right to use the Service ceases immediately and you must uninstall and destroy all copies of the Service in your possession.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRM DETAILS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Firm Details LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Service.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or through the Service. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.
12. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Suffolk County, Massachusetts.
